We believe that ethical and honest behavior is a fundamental requirement for conducting business at Aera Energy LLC – it is timeless and essential. We are communicating with you prior to the Holiday Season to provide a gentle reminder of our code of conduct and enlist your support in promoting a high standard of ethical conduct. Our company’s reputation, like an individual’s reputation is one of its most valuable assets. One of Aera’s Core Values is “Honesty, Integrity, and Respect”. We ask that each and every business partner (whether inside or outside Aera) demonstrate behavior consistent with this core value.

Aera Energy LLC expects that our employee and supplier community to observe the highest standard of business conduct and ethics. Questionable sales tactics – such as excessive or repetitive entertainment, deceptive discounts and gifts in exchange for purchases are out of place in ethical business relationships.

Examples of inappropriate actions include:
  ● Gifts to employees of more than a nominal value
  ● Any incentive, gift or finders fee to obtain business
  ● Any gift that contains alcoholic beverages
  ● Transportation, overnight accommodations, entertainment or other non-monetary favors
  ● Entertainment without a clear business purpose or involving great expense
  ● Business lunches where the supplier always pays
  ● Disclosing proprietary commercial or technical information

Sound judgment must guide decisions about gifts and entertainment, but accepting must never put Aera Energy LLC or suppliers employees in a compromising or embarrassing position and must never interfere with buying decisions. We’d like to emphasize that gift giving is discouraged and unnecessary. Each supplier employee should keep accurate, auditable records of any gifts of nominal value or entertainment. We would expect that these records be made available whenever requested.

Please communicate these expectations to your employees, as appropriate. You are also expected to advise location management or me if you become aware of any behavior that is in conflict with these standards
